A Post Mortem Look at What Went Wrong and Why

Those who serve on Boards, as well as those who have access to the boardroom know that directors are working harder than ever and are vividly aware of their responsibilities. However, at some companies, investors feel that governance has failed.

Please join NACD-NJ at its last program of the Spring, where our panel will express their views on some of the things that have gone wrong and make recommendations on how to avoid these problems in the future. Some of the questions that this panel will look to address are:

• Are all members of the Board qualified to operate in this current environment?

• Should there be a separation of Chairman and CEO role?

• Are Boards asking the tough questions about business and potential reputations risk?

• Have performance evaluations for the CEO and other top leaders been updated to incorporate some of the new leadership traits needed to weather the economic downturn?
