Topic Overview

Based on the keen interest expressed from recent past NACD New Jersey Chapter meetings and requests received on surveys regarding other topics of interest, we have decided to address the recruitment of Board Directors for middle and small cap public companies. There is a new way of increased recruitment activity for middle and small cap companies now that the Fortune 500 publicly traded companies have complied with Sarbanes-Oxley requirements. The Board Director search drivers that impacted Fortune 500 companies are now cascading to the middle market and small cap publicly traded companies including an increase need for Board skill sets balance, increase audit committee accounting expertise, having a majority of independent directors on boards and having only independent directors on the audit and compensation committees.
